Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the DIAL strategy execution platform ("Platform"), operated by ETI Consulting ("we", "us", or "our").
By creating an account or using the Platform, you agree to be bound by these Terms. If you are using DIAL on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Account Terms
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your password and for all activities under your account.
- You must notify us immediately of any unauthorised use of your account.
- One person may not maintain more than one account.
- You must be at least 18 years of age to use the Platform.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Acceptable Use
You agree to use DIAL only for lawful purposes. You must not:
- Violate any applicable laws, regulations, or third-party rights.
- Attempt to gain unauthorised access to the Platform, other accounts, or any related systems.
- Interfere with or disrupt the integrity or performance of the Platform.
- Reverse-engineer, decompile, or disassemble any part of the Platform.
- Use automated means (bots, scrapers, etc.) to access or extract data from the Platform without written permission.
- Upload malicious code, viruses, or any content designed to harm the Platform or its users.
- Use the AI features to generate content that is unlawful, harmful, or misleading.
- Share login credentials or allow others to access your account.
4. Intellectual Property
4.1 Platform Ownership
The DIAL platform, including its design, code, features, documentation, and branding, is the intellectual property of ETI Consulting. All rights not expressly granted under these Terms are reserved.
4.2 Your Content
You retain ownership of all data, content, and materials you submit to the Platform ("Your Content"). By using DIAL, you grant us a limited, non-exclusive licence to process, store, and display Your Content solely for the purpose of providing and improving the Platform.
4.3 Feedback
Any feedback, suggestions, or ideas you provide about the Platform may be used by us without obligation or compensation.
5. Data Ownership and Processing
- Your data remains yours. We act as a data processor on your behalf. You (or your organisation) are the data controller.
- We will not access, use, or share your strategic data for any purpose other than providing the Platform services, unless required by law.
- AI-generated insights are based on your data and general strategic frameworks. They are not stored or used to train third-party models.
- You may export or delete your data at any time through the Platform or by contacting us.
6. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:
- Scheduled maintenance (with reasonable advance notice).
- Emergency security patches or updates.
- Circumstances beyond our reasonable control (force majeure).
7. Fees and Payment
Access to DIAL may be subject to subscription fees as agreed in a separate service agreement with your organisation. Unless otherwise stated:
- Fees are billed in advance on a monthly or annual basis.
- All fees are non-refundable unless otherwise agreed in writing.
- We reserve the right to modify pricing with 30 days' written notice.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that the Platform will be error-free, secure, or available at all times.
- AI-generated content is provided for informational purposes only and should not be relied upon as the sole basis for strategic decisions.
- In no event shall ETI Consulting be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total aggregate liability shall not exceed the amount paid by you (or your organisation) in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless ETI Consulting, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Platform.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Content you submit through the Platform that infringes intellectual property or privacy rights.
10. Termination
- You may terminate your account at any time by contacting us or using the account settings.
- We may suspend or terminate your access if you breach these Terms, or for any reason with 30 days' written notice.
- Upon termination, your right to use the Platform ceases immediately.
- We will provide a reasonable period (minimum 30 days) for you to export your data before permanent deletion.
- Provisions that by their nature should survive termination (including IP, liability, and indemnification) shall survive.
11. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email or a notice within the Platform at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be resolved through good-faith negotiation, failing which they shall be submitted to the courts of competent jurisdiction in Johannesburg, South Africa.
